3. User Responsibilities

3.1 Accurate Information

Users must provide accurate, current, and complete information when submitting inquiries, contacting property owners, or using any of our services.

3.2 Lawful Use

Users agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

• Use the Platform in any way that violates applicable laws or regulations of the Republic of the Philippines
• Impersonate any person or entity or misrepresent your affiliation
• Submit false, misleading, or fraudulent information
• Engage in any conduct that restricts or inhibits anyone's use of the Platform
• Use automated systems (bots, scrapers) to access the Platform without our express written permission
• Use the Platform for any commercial purpose without authorization

4. Property Listings

4.1 Listing Accuracy

While we strive to ensure all property listings are accurate and up-to-date, we do not guarantee the accuracy, completeness, or reliability of any listing information. Property details, availability, pricing, and specifications are subject to change without notice and must be verified directly with property owners or authorized representatives.

4.2 No Guarantee of Availability

Properties listed on our Platform may become unavailable at any time due to sale, rental, or removal by the property owner. We are not responsible if a property you inquire about is no longer available.

4.3 Third-Party Listings

Some property listings may be provided by third-party brokers, developers, or property owners. Spire Group Properties is not responsible for the accuracy or completeness of third-party listings.

5. Professional Relationship

Spire Group Properties operates as a licensed real estate service provider (PRC License No. 0033251). While we facilitate connections between buyers, sellers, and property owners, any final agreements, contracts, or transactions are made directly between the parties involved. We may act as a broker or intermediary in accordance with Philippine real estate laws and regulations.

6. Fees and Payments

6.1 Platform Access

Browsing properties and submitting inquiries through our Platform is free for all users. There are no charges for viewing property listings or contacting our team.

6.2 Brokerage Services

Professional brokerage services, if engaged, may be subject to fees or commissions as agreed upon separately. All commission structures and fees will be clearly disclosed and agreed upon in writing before any transaction.

6.3 Transaction Payments

All purchase payments, rental payments, security deposits, and other transaction-related fees are handled directly between buyers/tenants and sellers/property owners, or through authorized escrow services. Spire Group Properties does not collect or hold transaction funds unless explicitly authorized in writing.

7. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy. By using our services, you consent to the collection and use of your information as described in the Privacy Policy, in compliance with the Data Privacy Act of 2012 (Republic Act No. 10173).

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, photographs, images, videos, software, and design elements, is the property of Spire Group Properties or its content suppliers and is protected by Philippine and international intellectual property laws. Unauthorized use, reproduction, or distribution of any Platform content is strictly prohibited.

9. User Content and Inquiries

By submitting inquiries, comments, or any other content to the Platform, you grant Spire Group Properties a non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our services.

10. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• That the Platform will be uninterrupted, timely, secure, or error-free
• That defects will be corrected
• That the Platform is free of viruses or other harmful components
• The accuracy, reliability, or completeness of any property information
• That the results of using the Platform will meet your requirements

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPIRE GROUP PROPERTIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on the Platform
• Any property transaction or rental agreement
• Unauthorized access, use, or alteration of your transmissions or content
• Any other matter relating to the Platform or services

12. Indemnification

You agree to indemnify, defend, and hold harmless Spire Group Properties and its officers, directors, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Any property transaction you engage in through the Platform

13. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or advertisements. We are not responsible for the content, accuracy, privacy policies, or practices of third-party websites. Your use of third-party services is at your own risk.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. 15. Termination

If negotiations fail within thirty (30) days, disputes may be settled through mediation or, if necessary, through the appropriate courts in Metro Manila, Philippines.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spire Group Properties regarding the use of the Platform and supersede all prior agreements and understandings.
